What is a sleeping shareholder?

In a small firm with two directors could one director be a sleeping shareholder, if so what are the strengths and weakness of each position. Is there any advantage in being a sleeping shareholder/director.

basically it's someone who owns (usually a large share) a portion of a business, but doesn't make any decisions about how the business is run.
i guess this means if you're a director, you wouldn't really be a 'sleeping' partner.

The real advantage are that you don't have to do any work to reap benefits, just put up the cash.
